Small Business Basic Legal Plan

The Small Business Basic Legal Plan gives small businesses prompt and affordable access to a local law firm for any legal issue that might arise—including contracts with vendors/suppliers/service providers; employment law issues such as hiring, firing, and paid or unpaid leave; insurance coverage; website terms, conditions, and privacy policy; protection of intellectual property (patents, copyrights, and trademarks); and debt collection.

Services

The Member may receive telephone consultations concerning legal matters for their business during regular, non-holiday office hours—including preexisting conditions. This includes both in-state and out-of-state business matters but does not include Specialized Phone Consultations. The Member may receive phone consultations from the Provider Law Firm on an unlimited number of business topics relating to a small business issue, interest, or other income producing activity. This includes the ownership of the business, corporate entity, or venture, regardless of the full-time or part-time nature of the business. Consultations are available to the extent the Provider Law Firm deems it necessary to adequately advise the Member on the legal matter. One per subject/situation—up to 30 minutes per call.

The Member may receive a total of 3 specialized telephone consultations per year, with each phone call up to 30 minutes in length and each phone call addressing one specialized legal topic. Examples of Specialized Phone Consultation topics include: (1) Tax; (2) Copyright; (3) Trademark; (4) Patents; (5) Antitrust; (6) Immigration; (7) International; (8) Securities; (9) Legal issues outside of the member's state of residence or the principal place of business.

The Member may submit to the Provider Law Firm for review up to 10 legal documents per Membership Year (no more than 3 per month) related to business matters and in which the Member is named as a contracting party, with each document being no more than 15 pages in length. The Member must send only a copy of the document to be reviewed and must keep the original document. The Provider Law Firm will review the copy of the document and advise the Member by phone call. Legal advice will be provided by the Provider Law Firm on any areas of concern, the legal implications of those provisions of the document, and the document’s compliance with state and federal law. The following documents and related legal services are excluded from and not covered by the document review service: • Documents that are more than 15 pages in length, as well as those that exceed the allotted 10 per year or 3 per month, will be provided at a flat rate of $75 dollars per document. • Documents in ongoing court proceedings or lawsuits or administrative proceedings are not covered. Examples of documents that are not covered include, without limitation, petitions, complaints, motions or other requests for relief, subpoenas, discovery requests or responses, applications for injunctive relief, applications for restraining orders, show cause orders, proposed judgments, and other matters submitted for judicial determination. • Revisions or amendments to the documents, or the negotiation of the terms of the documents reviewed by the Provider Law Firm are not covered. • Any matters for which legal services are provided under other provisions of the Small Business Basic Legal Plan Contract are not covered.

The Provider Law Firm can prepare one trademark application for the Member at the discounted rate of 25% off the Provider Law Firm’s standard hourly rate. Other fees and expenses—including filing fees, search fees, opinion letters, and legal assistant/paralegal fees—are separate and are not discounted.

The Provider Law Firm can prepare an employee handbook and any updates or revisions—customized to the applicable laws in the state of the Member’s principal place of business—for the discounted rate of 25% off the Provider Law Firm's standard hourly rate.

The Provider Law Firm will prepare custom legal contracts for the Member at a 25% discount off the Provider Law Firm’s standard hourly rate.

The Member may have 5 collection letters (in-state and out-of-state) per month prepared by the Provider Attorney. Additional collection letters can be provided at a flat rate of $75 per collection letter.

The Provider Law Firm will file an initial Beneficial Ownership Information Report (BOIR) on behalf of the Member. Updated Reports, Corrected Reports, Newly Exempt Entity Reports, and any other filings are not included but are eligible for 25% off the Provider Law Firm's standard hourly attorney fee.

The Member has the right to receive a 25% discount off the Provider Law Firm's standard hourly rate for business legal services that are not otherwise covered by the Small Business Basic Legal Plan. The 25% discount is available during the Eligibility Period unless the Small Business Basic Legal Plan Contract explicitly states that it is not available. The 25% discount is not available for contingency fee matters or flat fee arrangements, which may be negotiated at a separate rate with the Provider Law Firm. The Member is responsible for paying court costs, fines, and related fees. Depending on the Member's legal needs, a retainer fee or fee deposit may be required by the Provider Law Firm prior to services being rendered under this discount. The Provider Law Firm is responsible for determining the amount of the retainer fee or fee deposit and any other anticipated costs.

Eligibility

To be eligible for the Small Business Basic Legal Plan, the business entity must be a small business entity with:

  • One employee identification number (EIN) or registered number.

  • For profit.

  • Not publicly traded.

  • Engaged in a legal business.
